Welcome to Sweetpea Labs. These Terms and Conditions ("Terms") explain the rules for using our website at www.sweetpealabs.co (the "Site"). The Site is operated by Sweetpea Labs LLC, a Virginia company based in Norfolk, Virginia ("Sweetpea Labs," "we," "us" or "our"). By visiting or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.
1. Who Can Use the Site
You must be at least 18 years old to use the Site. If you use the Site on behalf of a business or other organization, you confirm that you have authority to accept these Terms for it.
2. About the Site
The Site shares information about Sweetpea Labs, the digital products we design and build, and our Client Studio. The Site is informational. We do not sell products or services directly through it, and nothing on the Site is an offer to sell.
3. Product Previews
Products marked "coming soon," including our focus timer and the ink + petals digital art collection, are previews of work in progress. Features, designs, themes, pricing and release dates may change, and we may decide not to release a product. Any future purchase will be covered by the terms we present at the time of sale.
4. Client Studio
Our Client Studio provides technology and business operations services to clients. The information about it on the Site is general information only. All client work is governed by a separate written agreement or statement of work, which controls if it conflicts with these Terms. Contacting us does not create a client relationship or an obligation for either of us to provide or buy services.
5. Our Content
Everything on the Site, including text, illustrations, artwork, designs, graphics, product previews, screenshots, the Sweetpea Labs name and our logo ("Content"), belongs to Sweetpea Labs or our licensors and is protected by copyright, trademark and other laws.
You are welcome to view the Site and share links to it. You may not copy, reproduce, distribute, modify, sell, license or create derivative works from any Content, or use our name or logo, without our written permission.
6. Things You Agree Not to Do
When using the Site, you agree not to:
- Break any law or use the Site for any unlawful purpose.
- Copy, scrape, crawl or collect Content or data from the Site using bots or other automated means.
- Use any Content, including our illustrations, designs and product previews, to train artificial intelligence or machine learning models, or to build competing products.
- Interfere with the Site's security or operation, or try to access parts of it you are not authorized to reach.
- Send or upload viruses, malware or other harmful code.
- Pretend to be someone else or misrepresent your connection to Sweetpea Labs.
We may limit or block access to the Site for anyone who breaks these Terms.
7. Privacy
Our Privacy Policy explains what information we collect and how we use it. It is part of these Terms.
8. Links to Other Sites
The Site may link to websites and services we do not own or control, such as LinkedIn. We are not responsible for their content, policies or practices, and a link is not an endorsement. Your use of those sites is governed by their own terms and privacy policies.
9. Disclaimer
The Site and its Content are provided "as is" and "as available." To the fullest extent the law allows, we make no warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not promise that the Site will always be available, error-free, secure or free of viruses or other harmful components.
10. Limitation of Liability
To the fullest extent the law allows, Sweetpea Labs and its owners, team members and contractors will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, data or goodwill, arising from or related to your use of, or inability to use, the Site.
Our total liability for any claim related to the Site is limited to the amount you paid us through the Site, or 100 U.S. dollars if you have not paid us anything through the Site.
Some states do not allow certain warranty exclusions or liability limits, so some of the above may not apply to you. In that case, these limits apply to the greatest extent the law permits.
11. Indemnification
You agree to defend and hold harmless Sweetpea Labs and its owners, team members and contractors from any claims, losses, damages and expenses, including reasonable attorneys' fees, that arise from your misuse of the Site or your violation of these Terms.
12. Governing Law and Disputes
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-law rules, and by applicable federal law.
If you have a concern or dispute about the Site, please email us at hey@sweetpealabs.co first so we can try to resolve it informally. If we cannot resolve it within 30 days, either of us may bring the dispute in the state or federal courts located in Virginia, and you agree to the jurisdiction of those courts.
If you live outside the United States, you keep any rights that the mandatory laws of your country give you.
13. Export and Sanctions
You confirm that you are not located in a country subject to a U.S. government embargo and are not on any U.S. government list of restricted or prohibited parties.
14. Changes to These Terms
We may update these Terms from time to time. When we make a material change, we will update the date at the top of this page and make reasonable efforts to post notice on the Site at least 30 days before it takes effect. If you keep using the Site after the changes take effect, you accept the updated Terms.
15. General
If any part of these Terms is found unenforceable, that part will be applied as fully as the law allows and the rest of these Terms will stay in effect. If we do not enforce a provision right away, we have not waived it. These Terms, together with our Privacy Policy, are the entire agreement between you and us about the Site. If these Terms are ever translated, the English version controls.
